Subscription Terms

Please read these Subscription Terms thoroughly and carefully. The purpose of these Subscription Terms is to establish the terms and conditions under which you obtain access to the investment learning materials. Should you have any questions, don’t hesitate to contact us through the Support Center.

These Subscription Terms are incorporated by reference in the Terms and Conditions of SkillNova™ (“SkillNova”, or “us”), and form part of the agreement between you, as a user of the website www.skillnova.io (“Website”) or the SkillNova app available on the App Store (“App”), and SkillNova.

1. Trial

  • We may offer a paid trial subscription for services provided through the Website and/or the App.
  • Unless you cancel at least 24 hours before the end of the trial, you will be automatically charged the price indicated on the payment screen for the chosen subscription period, and the trial will be converted into a subscription.

2. Subscription

  • The subscription renews automatically at the end of each period (4 weeks, 12 weeks, or otherwise, depending on the option selected by you at the time of purchase) until you cancel.

3. Payment Method

  • Payment will be charged to the payment method you submitted at the time of purchase.
  • You authorize us to store your payment data to the extent necessary to provide our services and to automatically charge the applicable fees to the payment method you submit.

4. Cancellation

Canceling your trial or subscription means that the automatic renewal will be disabled, but you will still have access to all your subscription features for the remaining time of the then-current period. Note that deleting the app does not cancel your subscriptions.

If you purchased a subscription or enabled a trial on the App Store:

  • You can cancel a trial or subscription at any time by turning off auto-renewal through your Apple ID account settings.
  • To avoid being charged, cancel the subscription in your Apple ID account settings at least 24 hours before the end of the free trial or current subscription period.
  • You alone can manage your subscriptions. Learn more about managing subscriptions (and how to cancel them) on the Apple support page.

If you purchased a subscription or enabled a trial on Google Play:

  • You can cancel a trial or subscription at any time by turning off auto-renewal through your Google Play account settings.
  • To avoid being charged, cancel the subscription in your account settings at least 24 hours before the end of the trial or current subscription period.
  • You alone can manage your subscriptions. Learn more about managing subscriptions (and how to cancel them) on Google’s support page.

If you purchased a subscription or enabled a trial on our Website:

  • To avoid being charged, cancel your subscription before the end of the then-current period.
  • You may cancel your subscription purchased on our Website in your profile. Below are several options (which may change from time to time) on how to initiate cancellation of a web subscription:
    • If you have an iOS device:
      Open the SkillNova app, go to your profile, and select Subscription. From here, you will be directed to subscription settings and will be able to turn it off.
    • If you have an Android device:
      Open the SkillNova app, go to your profile, and select My Subscription. From here, you will be directed to subscription settings and will be able to turn it off.
    • Don’t have the app?
      Open your web profile page and go to subscription settings. From there, you will be directed to subscription settings and can turn off auto-renewal.
  • Canceling your subscription disables automatic renewal, but you will retain access to all subscription features for the remaining time of the current period.

5. Changes

  • To the maximum extent permitted by applicable laws, we may change subscription fees at any time.
  • We will give you reasonable notice of any such pricing changes by posting the new prices on the App and/or by sending you an email notification, or via another prominent method.
  • If you do not wish to pay the new fees, you can cancel the applicable subscription before the change goes into effect.

6. Refunds

These refund rights and conditions apply in addition to any refund rights available to you under applicable law. If you are unsure whether you have a right to a refund, please contact our support team at the email address below, and we will work with you to find the best solution.

A. If you purchased a subscription or enabled a trial on the App Store:

  • If you are eligible for a refund under Apple’s refund policy, please request it directly from Apple—they manage all refunds. Please follow the instructions on the Apple support page to request a refund.

B. If you purchased a subscription or enabled a trial on our Website:

  • If you made a purchase directly on our Website and the money-back option (“Money-back guarantee”) was presented during checkout, you are eligible for a voluntary refund provided that:
    • You contact us within 30 days of your initial purchase and before the end of your first subscription period.
    • The following conditions are met based on your activated plan:
      • 1-week plan: You have used the app for more than 3 consecutive days and completed at least 2 guides with lessons or at least 70% of all available modules.
      • 4-week plan: You have used the app for more than 7 consecutive days and completed at least 4 guides with lessons or at least 80% of all available modules.
      • 12-week plan: You have used the app for more than 10 consecutive days and completed at least 4 guides with lessons or at least 80% of all available modules.
    • To verify your progress, please provide screenshots from the app.
    • You can view your current plan in the Subscription settings in your profile.
    • Once you contact us through the Support Center, we will review your application and notify you by email regarding its approval.

6.1. Important Statement

  • Only full fulfillment of all the above requirements qualifies you for a complete voluntary refund under the Money-back guarantee.
  • The Money-back guarantee does not apply to:
    • Personal reasons: For example, if you don’t like the product or it did not meet your expectations.
    • Financial reasons: For example, if you did not expect to be charged, that the trial would convert to a subscription, or that the subscription would automatically renew.
  • You may still cancel your subscription without receiving a voluntary refund by contacting us through the Support Center.

6.2. Note for EU Residents

  • If you are an EU resident, you have the right to withdraw from the agreement for the purchase of digital content without charge and without giving any reason within fourteen (14) days from the date of the agreement.
  • The right of withdrawal does not apply if the performance of the agreement has begun with your prior express consent and you acknowledge that you thereby lose your right of withdrawal.
  • YOU HEREBY EXPRESSLY CONSENT TO THE IMMEDIATE PERFORMANCE OF THE AGREEMENT AND ACKNOWLEDGE THAT YOU WILL LOSE YOUR RIGHT OF WITHDRAWAL ONCE OUR SERVERS VALIDATE YOUR PURCHASE AND THE APPLICABLE PURCHASE IS SUCCESSFULLY DELIVERED TO YOU.
  • Therefore, unless the Website and/or the App is defective, you will not be eligible for a refund on digital content, and you will only be eligible for a proportional refund on digital services.

Welcome to SkillNova! We've simplified our Terms and Conditions to make them more user-friendly. Please take a moment to read these terms, as they form the agreement between you, as a user of SkillNova, and us, as the provider of SkillNova services.

1. Who We Are

SkillNova™, operated by Cyclops Net Inc, is a company registered at 2140 S Dupont Highway, Camden, DE 19934 (and/or its affiliates or authorized representatives/resellers) (“we”, “us”, “our” or the “Company”). Our aim is to provide you with valuable learning materials and related services through our website, www.skillnova.io (“Website”) or through designated platforms.

2. Agreement Overview

  • Acceptance:
    By using our product SkillNova (“Service”), you agree to abide by these Terms and Conditions (referred to as the "Terms" or the "Agreement").
  • Incorporation of Other Terms:
    Our Privacy Terms and Subscription Terms are incorporated herein by reference and form part of these Terms.
  • Translations:
    Any translation of these Terms from the English version is provided for your convenience only. The English version of these Terms is always available at https://legal.skillnova.io/terms. In case of any discrepancies, the English version will prevail.

3. Eligibility

  • User Requirements:
    To use SkillNova, you must be at least 16 years old and have the legal capacity to enter into an agreement. If you are under 18, you must obtain your parent's permission.
  • Non-Acceptance:
    If you do not agree with any part of these Terms or are not eligible to use our Services, please do not access any part of our Service.

4. What We Offer

SkillNova provides a range of educational materials, including articles, investment reading materials, test questions, and an AI Chat feature for educational purposes. All these materials and services are collectively referred to as “Digital Content.”

  • Access Requirements:
    • Access to the Digital Content and the SkillNova Service is available only after registering.
    • Registration requires selecting and paying for an introductory offer (trial) or a subscription plan (e.g., 4 weeks, 12 weeks, etc.) at the time of purchase.
  • Additional Offers:
    After purchase and while using the Service, you may be offered additional paid features. Please review any offers carefully.

5. AI Chat Mentor

  • Access to AI Chat:
    While using our Service, you will have access to a Mentor chat powered by Artificial Intelligence (referred to as "AI Chat"). This feature is implemented for educational purposes only and is not intended to provide investment advice.
  • Content Regulation:
    • Input and Output:
      When using AI Chat, the information you provide (“Input”) will generate responses (“Output”). Together, the Input and Output are referred to as "Content."
    • Ownership and Rights:
      You own your Input, and we assign you all rights permitted by law on the Output. However, we may use this Content to improve our services. You can opt out of such use by contacting us.
  • Nature of AI Content:
    Due to the nature of machine learning, Output may not be unique across users; similar or identical responses may be generated for different users. Only responses generated specifically for you are considered your Content.

6. Subscription Plans

A. What We May Offer

Based on the option selected at the time of purchase, SkillNova may offer you:

  • Introductory Offer:
    • A short-term offer providing limited access to basic features and content.
    • Typically designed for new users to try out the platform.
    • Cancellation: You can cancel the introductory offer 24 hours before it ends. If you do not cancel, it automatically converts into a subscription, and you will be charged the full subscription price without further notice.
  • Subscription Plan:
    • An arrangement granting ongoing access to the Service for a specified period (e.g., 4 weeks, 12 weeks, etc.) after payment.
    • Subscription plans automatically renew at the end of each period.
    • Cancellation: You may cancel anytime 24 hours before the current billing period ends via your account settings.
  • Additional Paid Features:
    • Optional functionalities or services offered in addition to the introductory offer or subscription plan, available on a subscription or one-time purchase basis.

B. Important Pricing Notes

  • Renewal Pricing:
    Some offers may renew at the full, non-discounted price. Please read the terms of your chosen plan carefully.
  • Price Changes:
    • Prices and the amount of Digital Content provided through your plan may change from time to time by territory, with no obligation on SkillNova to provide clear notice (except where required by law).
    • We will give reasonable notice of any price change by posting the new prices on the Website, via notification, or another prominent method.
    • If you do not agree with the new price, please cancel your subscription before the new pricing applies.

7. Billing and Cancellation

A. Billing

  • Payment Methods:
    • SkillNova bills for its services through PayPal and other payment providers (e.g., Visa, Mastercard, etc.).
    • The applicable fees will be charged to the payment method you submit at the time of purchase. Confirmation may be obtained via single-touch identification, facial recognition, or by entering your payment details on the website.
    • You authorize us to store your payment methods and automatically charge the subscription fees for renewal.
  • Automatic Renewal:
    • The auto-renewal period will match your initial subscription period unless otherwise disclosed.
    • The renewal rate will not exceed the rate of the prior period, excluding promotional pricing, unless notified beforehand.
    • Payment dates may vary if your payment method fails or you change your subscription plan. To view your next payment date, please visit the “Subscription” link on the “Account” page of the Website.

B. Cancellation and Refunds

  • Cancellation Procedures:
    • Cancel your subscription in accordance with the cancellation procedures provided at the time of purchase and detailed in the Subscription Terms.
  • Refunds:
    • Please refer to the Subscription Terms to determine whether you are eligible for a refund.
    • SkillNova may also cancel subscriptions and provide refunds at its discretion, subject to the Subscription Terms.

8. Data Protection

  • Data Handling:
    We collect, store, and process your data in accordance with our Privacy Policy.
  • Consent:
    By using our Service, you agree to such collection, storage, and processing for the purposes described in the Privacy Policy.

9. Use of Information and Intellectual Property

  • Ownership:
    All information, text, images, graphics, logos, compilations (i.e., the arrangement or assembly of information), data, and other content available on our Website is the property of SkillNova or third parties.
  • License:
    You are granted a non-exclusive license to use the Service for personal, non-commercial purposes only.
  • User Content:
    • The information you provide when signing up (“User Content”) remains your property.
    • We do not obtain proprietary rights over your User Content; however, we may retain copies of registration and User Content as necessary to operate the Service.
  • Intellectual Property Infringement:
    If you believe your intellectual property rights have been violated, please contact us via the Support Center. We may request additional information and may delete or disable infringing content or terminate accounts of repeat infringers.

10. Third-Party Ads

  • Links and Advertisements:
    Our Service may contain links to third-party websites and advertisements for third-party products or services.
  • Disclaimer:
    • SkillNova is not responsible for these third-party ads; you use them at your own risk.
    • When you click on a third-party link, the third party’s terms and conditions will apply.
    • You release SkillNova, its officers, employees, agents, and successors from any claims or losses related to such third-party ads.

11. Compliance

    The Services are provided in accordance with the laws of the United States.
  • Jurisdiction:
    If you use the Services from a jurisdiction outside of the United States, you do so at your own risk and are responsible for complying with any applicable local laws.

    All materials, logos, and other content on the SkillNova platform are copyrighted by SkillNova.
  • Redistribution:
    Any redistribution or reproduction of any part of the Services or Digital Content is prohibited unless written permission is obtained from SkillNova.

13. User Representations and Restrictions

A. Representations and Warranties

By using the Service, you represent and warrant that:

  • You have the legal capacity to enter into these Terms.
  • You are not under the age of 16.
  • You will not access the Service through automated or non-human means (e.g., spiders, robots, cheat utilities, scrapers, or offline readers).
  • You will not use the Service for any illegal or unauthorized purpose.
  • You are not located in a country subject to a U.S. government embargo or designated as a “terrorist supporting” country.
  • You are not listed on any U.S. government list of prohibited or restricted parties.
  • Your use of the Service will not violate any applicable law or regulation.
  • If any information you provide is untrue, inaccurate, not current, or incomplete, we reserve the right to refuse current or future use of the Service.

B. Restrictions

As a user of the Service, you agree not to:

  • There is no guarantee that the Digital Content will meet your needs or requirements.
  • The Service may not be appropriate for all users and is not a substitute for professional advice.

D. Results and Capital Risk

  • We do not guarantee any level of success; results will vary based on individual factors.
  • SkillNova is solely an educational platform—you cannot invest with us. If you decide to invest independently, you assume all risks of capital loss and variable income.

E. Representations

  • SkillNova makes no representations or warranties, express or implied, regarding your reliance on any information provided through the Service.
  • We disclaim liability for any loss, damage, or injury resulting from the use of Service information.
  • SkillNova will not be liable for any indirect, consequential, special, incidental, punitive, or exemplary damages resulting from your use (or inability to use) the Service.

  • Notwithstanding anything to the contrary, the aggregate liability of SkillNova for all claims arising from your use of the Service is limited to the amounts you have paid for access to and use of the Service.

16. Indemnification

  • In no event will SkillNova be liable for any loss, damage, or injury (including indirect, consequential, special, incidental, or punitive damages) arising from your use of the Services or any decision made in reliance on information provided therein.
  • By using the Services, you agree to indemnify, defend, and hold harmless SkillNova, its successors, subsidiaries, affiliates, and their respective officers, directors, employees, agents, and representatives from any claims, liabilities, or expenses (including reasonable attorneys’ fees) arising out of:
    • (i) your use of the Service or Digital Content,
    • (ii) your User Content,
    • (iii) your violation of these Terms.

17. Dispute Resolution and Class Action Waiver

PLEASE REVIEW THIS SECTION CAREFULLY. THESE PROVISIONS GOVERN HOW DISPUTES BETWEEN YOU AND SKILLNOVA ARE ADDRESSED AND INCLUDE A MANDATORY PRE-ARBITRATION INFORMAL DISPUTE RESOLUTION PROCESS, CLASS ACTION WAIVER, AND JURY TRIAL WAIVER.

17.1. Applicability of Arbitration Agreement

This Arbitration Agreement governs any dispute between you and SkillNova (and our respective agents, corporate parents, subsidiaries, affiliates, predecessors, successors, and assigns) related to any aspect of our relationship. This includes claims arising before or after these Terms, except that either party may seek equitable relief in court for intellectual property rights infringements.

17.2. Initial Informal Dispute Resolution Process

  • Objective:
    We believe most disputes can be resolved quickly and cost-effectively without resorting to arbitration.
  • Procedure:
    • Before seeking arbitration, you and SkillNova agree to attempt to resolve any disputes informally.
    • You may contact our Support service at support@skillnova.io or via the Support Center.
  • Mandatory Pre-Arbitration Notice:
    If disputes are not resolved informally, the aggrieved party (“Claimant”) must send a formal written notice (the “Notice”) including:
    • Full name and contact details (including account identifier, if applicable)
    • A detailed description of the dispute
    • A description of damages and recovery requests (if applicable)
    • A signed statement verifying the accuracy of the information
  • Submission:
    All Notices must be sent by certified mail to:

    with a copy also sent by email to legal@skillnova.io.
  • Negotiation Period:
    After receipt, both parties agree to negotiate in good faith for 40 days. SkillNova may request an online conference to discuss the dispute.
  • Failure to Resolve:
    If no agreement is reached within 40 days, either party may initiate arbitration.

17.3. Arbitration Agreement

  • Binding Arbitration:
    If an agreement is not reached, you and SkillNova agree to binding individual arbitration as the exclusive dispute resolution method (except where prohibited by law).
  • Governing Rules:
    Arbitration will be governed by the rules of the National Arbitration and Mediation (“NAM”) as modified by this Agreement.
  • Alternative Administrator:
    If NAM is unavailable or unwilling to administer the arbitration, an alternative provider will be selected by mutual agreement or by a court.

17.4. Arbitration Proceedings

  • Commencing Arbitration:
    • A party intending to seek arbitration must send a written “Demand for Arbitration” to NAM detailing:
      1. Name, contact information, and account username (if applicable)
      2. Statement of legal claims and factual basis
      3. Description of the remedy sought and amount in controversy (in U.S. Dollars)
      4. Certification of completion of the Informal Dispute Resolution process
      5. Evidence of any required filing fee payment
    • If represented by counsel, include counsel’s contact details and signature.
  • Submission Requirements:
    If you submit a Demand for Arbitration to NAM, within 7 days you must also send it to SkillNova at the address provided above using an international courier with tracking.
  • Additional Details:
    The arbitration will be conducted in English, may be held in person, via telephone, videoconference, or by written submissions, and will be subject to streamlined procedures to reduce costs.
  • Authority and Award:
    The arbitrator has exclusive authority to resolve any dispute. The arbitration award will be in writing, confidential, and binding on the parties.
  • Fees:
    NAM fees and costs will be governed by NAM Rules, with each party bearing its own attorneys’ fees unless determined otherwise.

17.5. Class Action Waiver and Jury Trial Waiver

  • Waiver:
    To the fullest extent permitted by law, you and SkillNova waive the right to a jury trial and agree to resolve disputes individually through arbitration.
  • Class Action:
    You further waive any right to file or participate in a class, collective, representative, consolidated, or private attorney general action.
  • Limitation:
    The arbitrator may only award final relief to the individual party seeking it.

17.6. Reciprocal; Survival

  • Reciprocity:
    This dispute resolution section is reciprocal and will not be construed against the drafting party.
  • Severability:
    If any provision is unenforceable, it will be severed, and the remaining provisions will remain in effect.
  • Survival:
    This Arbitration Agreement will survive any termination of your use of the Services.

18. Miscellaneous

  • Service Modifications:
    We may update or change the Service or its information without notice. Certain delays may occur due to circumstances beyond our control.
  • Discontinuation:
    We may modify or discontinue the Service (or any part thereof) at any time, temporarily or permanently, at our sole discretion without liability.

19. Changes

  • Amendments:
    We may change these Terms from time to time, particularly when there are legislative or business changes.
  • Notification and Acceptance:
    • We may notify you of critical changes; if you continue to use the Service after any changes, it means you have accepted the new Terms.
    • If you receive a notice regarding changes, you will have 14 days to object or opt out. If no objection is received within this period, the changes will be deemed accepted.
